These Terms of Service apply to all health and wellness services provided by MIM Hospo Group Pty Ltd (ABN 86 702 963 960), trading from Melbourne VIC, Australia, through our website at https://mimhospogroup.online. By requesting a quote, booking a service, or otherwise engaging us, you accept these terms in full. If you do not agree, please do not use our services.
2. Services Provided
We provide health and wellness services as described on our Services page. The specific scope, deliverables, and timing of any engagement will be set out in the quote or service agreement provided to you before work commences. Any variation must be agreed in writing (email is sufficient) by both parties.
3. Quotes and Bookings
Quotes issued by us are valid for 14 days from the date of issue unless otherwise stated. A booking is confirmed once you accept the quote in writing. Bookings may be rescheduled or cancelled by giving at least 48 hours' notice; cancellations with less notice may attract a reasonable fee to cover costs already incurred.
4. Fees and Payment
Fees are set out in your quote. Unless otherwise agreed, payment is due within 14 days of the invoice date. We may charge interest on overdue amounts at a reasonable rate and may suspend services until outstanding amounts are paid. All fees are in Australian dollars and include GST where applicable.
5. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these terms excludes, restricts, or modifies any consumer guarantee or right you may have under the Australian Consumer Law. Where services are not provided with due care and skill, you may be entitled to a remedy, including resupply of the services or compensation.
6. Your Responsibilities
To enable us to deliver services effectively, you agree to provide accurate and relevant information about your requirements, any health or wellness considerations relevant to the services, and reasonable access to premises or systems where required. We rely on the information you provide; we are not responsible for delays or issues caused by incomplete or inaccurate information.
7. Health and Wellbeing Disclaimer
Where our services involve health and wellness advice, programs, or support, such services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the guidance of a qualified medical practitioner with any questions regarding a medical condition. You should not disregard or delay seeking medical advice because of anything provided as part of our services.
8. Confidentiality and Privacy
We treat your personal and business information with care. Our handling of personal information is governed by our Privacy Policy. Each party agrees to keep confidential information of the other party confidential and to use it only for the purposes of the engagement, except where disclosure is required by law.
9. Intellectual Property
All materials, programs, frameworks, and documentation we create or supply remain our intellectual property unless expressly assigned in writing. You receive a licence to use deliverables for your own internal purposes upon full payment. You retain ownership of materials you provide to us.
10. Limitation of Liability
To the extent permitted by law, our liability for any claim arising from the services is limited to the amount of fees paid by you for the relevant service, or, at our option, the resupply of the services. We are not liable for indirect or consequential loss, including loss of profits or business opportunities, except where such limitation is not permitted by the Australian Consumer Law.
11. Termination
Either party may terminate an engagement with 14 days' written notice. If you terminate, you remain liable for fees for services performed up to the termination date. We may terminate immediately if you breach these terms and fail to remedy the breach within 7 days of notice, or if payment becomes substantially overdue.
12. Force Majeure
We are not liable for delays or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, public health emergencies, government restrictions, or disruptions to essential services.
